Terms of Service

These Terms and Conditions ("Terms") govern your access to and use of the DiscountWisp app (the "App") provided by DiscountWisp, Inc. ("we," "us," or "our"). By installing or using the App, you agree to comply with these Terms and all applicable laws. We may update these Terms over time—the most recent version will be posted in the App documentation. Continued use after changes indicates your acceptance of the revised Terms.
1. Use of the App
a. License
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely within your Shopify store. You may not modify, reverse engineer, or otherwise alter the App or its components.
b. Registration
Use of the App requires a registered Shopify store and valid installation. You are responsible for maintaining your admin credentials and safeguarding against unauthorized access. Notify us promptly of any unauthorized use.
c. Responsibility
You are responsible for ensuring you have the required hardware, internet connection, and Shopify environment to support the App’s functionality. You grant us the right to access your store data (e.g., products, orders, customers) as needed to deliver App features and services.
d. Acceptable Use
You may not use the App in a manner that violates applicable laws or involves harassment, fraud, or infringement of third-party rights. You agree not to misuse the App or upload unlawful or harmful content.
2. Fees and Payment Terms
You agree to pay the subscription fees specified for your selected plan. Fees are billed through Shopify’s billing system and appear on your Shopify invoice unless otherwise specified.
3. Ownership and Intellectual Property
All intellectual property rights in the App and related technology belong to us or third parties. These Terms do not grant you any ownership interest or rights to the App beyond the limited license specified above.
4. Representations and Indemnification
You represent that any data you provide to the App (e.g., customer or business data) is your rightful property or that you have necessary usage rights. You agree to indemnify and hold us harmless from any claims arising out of your data, use of the App, or breach of these Terms.
5. Limitation of Liability
The App is provided “as is,” and we offer no warranties regarding its fitness for a particular purpose or its uninterrupted performance. To the fullest extent permitted by law, we are not liable for any damages arising from your use of the App, including lost profits, revenue, or business interruption.
6. Force Majeure
We are not liable for any delay or failure to perform obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, strikes, or governmental regulations.
7. Confidentiality
Both parties agree to protect and not disclose any confidential information received through use of the App, except as permitted in these Terms or as required by law.
8. Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign them as needed for business operations or legal compliance.
9. Term and Termination
These Terms become effective upon your installation or use of the App and continue until terminated. We may suspend or terminate your access to the App immediately if you breach these Terms. You can also uninstall the App through Shopify, but your data may be retained per our Privacy Policy.
10. Governing Law and Disputes
Any disputes arising under these Terms will be resolved via binding arbitration in accordance with the rules of a mutually agreed arbitration body. Proceedings will be conducted in English, and the decision shall be final and enforceable in competent courts. Nothing restricts you from seeking interim or injunctive relief where legally necessary.
